Overview of Annual Filing Requirements

Annual filing is a mandatory compliance requirement for every company registered under the Companies Act, 2013. Through annual filings, companies submit their financial statements, annual returns, and governance-related information to the Registrar of Companies (ROC) through the Ministry of Corporate Affairs (MCA) portal.

Under the Companies Act, 2013, every company is generally required to file the following annual forms:

Form AOC-4

Form AOC-4 contains the company's audited financial statements and related disclosures, including Balance Sheet, Statement of Profit and Loss, Cash Flow Statement (where applicable), Board's Report, Auditor's Report, Notes to Accounts and Annexures

Form MGT-7 / MGT-7A

This form contains the Annual Return of the company, including Company particulars, Shareholding pattern, Details of directors and key managerial personnel, Registered office details, Changes in management and shareholding and Compliance-related disclosures

These filings ensure transparency, regulatory compliance, and accessibility of corporate information to stakeholders, regulators, investors, and the public. Recent Regulatory Developments

MCA Version 3 Portal

The Ministry of Corporate Affairs has migrated annual filing processes to the MCA-21 Version 3 (V3) Portal, introducing improved digital filing processes, enhanced validation checks, Better document management, and integrated compliance monitoring.

Amendment Rules Effective from 14 July 2025

The Companies (Accounts) Second Amendment Rules, 2025 introduced Additional disclosure requirements, Enhanced reporting obligations, Stricter validation criteria and Improved governance reporting requirements

Sequential Filing Requirement

The MCA V3 Portal follows a sequential compliance mechanism whereby Form AOC-4 must be filed first, Form MGT-7/MGT-7A can be filed subsequently. This is because financial information filed in AOC-4 is automatically integrated into the annual return.

Annual Filing Forms Explained

Form AOC-4 : Form AOC-4 is used for filing financial statements with the ROC and is mandatory for most companies.

The form includes Balance Sheet, Profit & Loss Account, Cash Flow Statement (where applicable), Statement of Changes in Equity, Board's Report, Auditor's Report and Financial Statement Notes and Annexures

From MGT-7 :

  • Form MGT-7 is the annual return applicable to Private Limited Companies, Public Limited Companies, Section 8 Companies and Nidhi Companies.
  • Information disclosed includes Company particulars, Share capital details, Shareholding pattern, Directors and KMP information, Board and General Meetings, Changes in management and Details of penalties and compliances

From MGT-7A :

  • MGT-7A is a simplified annual return applicable to one-person companies (OPCs) and small companies. The form contains an abridged version of annual return disclosures and considerably reduces compliance burden.

Eligible Companies

  • One Person Company (OPC) : As defined under Section 2(62) of the Companies Act, 2013.
  • Small Company: A company having paid-up capital not exceeding INR 4 crore and turnover not exceeding INR 40 Crore; subject to exclusions u/s 2(85).

Filing Timelines Explained

Regular Companies: For Private Limited, Public Limited, and Section 8 Companies:

  • AGM must be held by 30 September 2026.
  • AOC-4 must be filed within 30 days of AGM.
  • MGT-7 must be filed within 60 days of AGM.

One Person Companies (OPCs) : OPCs are exempt from holding Annual General Meetings.

Filing compliances:

  • AOC-4: Within 180 days from the end of the financial year.
  • MGT-7A: Within 60 days from the deemed AGM date.

Small Companies: Small companies must:

  • Hold AGM by 30 September 2026.
  • File AOC-4 within 30 days of AGM.
  • File MGT-7A within 60 days of AGM.

First AGM of a Newly Incorporated Company:

The first AGM can be held within nine months from the end of the first financial year. Once the AGM is conducted:

  • Form AOC-4 must be filed within 30 days.
  • Form MGT-7 must be filed within 60 days.

Category-wise Annual Filing Requirements

One Person Company (OPC) : Key Compliance Requirements

  • A statutory audit is mandatory.
  • Form AOC-4 filing within 180 days from year-end.
  • Form MGT-7A filing within prescribed timelines.
  • Income Tax Return (ITR-6) filing as applicable.

Special Benefits: No AGM requirement, cash flow statement not mandatory, and simplified annual return through MGT-7A.

Private Limited and Public Limited Companies

Mandatory Requirements

  • AGM by 30 September.
  • Filing of AOC-4 within 30 days.
  • Filing of MGT-7 within 60 days.
  • Maintenance of statutory registers and records.

XBRL Filing : XBRL filing may be mandatory for specified classes of companies based on turnover and other prescribed criteria.

Small Companies

Compliance Requirements

  • AGM by 30 September.
  • AOC-4 filing.
  • MGT-7A filing instead of MGT-7.

Compliance relaxations are simplified annual returns and cash flow statement exemptions. and reduced compliance burden.

Section 8 Companies

Section 8 companies operate for charitable, social, educational, religious, or nonprofit purposes.

Annual Filing Requirements

  • AGM by 30 September.
  • Filing of AOC-4.
  • Filing of MGT-7.
  • Maintenance of statutory records.

Additional Compliance: Where registered under FCRA, annual returns must also be filed under the Foreign Contribution Regulation Act.

First-Time Filing Companies

For newly incorporated companies:

  • First AGM may be held within nine months from the end of the first financial year.
  • Financial statements must be approved by the board before presentation at AGM.
  • Normal filing timelines apply after the first AGM.

Penalties for non-compliance

  • Additional Filing Fees: A delay in filing attracts INR 100 per day per form with no maximum cap. This applies separately for every delayed e-form, including AOC-4, MGT-7, MGT-7A, ADT-1 and Other annual compliance forms.
  • Consequences of Non-Filing: Failure to file annual returns and financial statements may result in:
  • For the Company: Heavy financial penalties, Loss of compliance status and Risk of strike-off proceedings
  • In case of Penalties for Non-Compliance Directors: Director disqualification, Monetary penalties and Regulatory action and prosecution
  • For Auditors: Professional penalties for reporting failures and Regulatory proceedings where applicable
