Key Highlights: MCA Amends Strike-off Rules
- Strike off is refers to the removal of the Company's name from the Registrar of Companies. It's more like a company closure, as the company will cease to exist after being Struck Off and will be unable to execute any activities thereafter.
- MCA vide notification/ circular dated 09th June, 2022 has issued - Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2022
- Applicability: Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2022 is applicable from the date of their publication in the Official Gazette. i.e dated 09th June, 2022
Key Highlights: MCA Amends Strike-off Rules
- Where the ROC during the examining of the application made in Form STK-2, and find that that additional information is required or that the application or any document annexed thereto is defective or incomplete in any way, he shall notify the applicant to correct the defects and resubmit the complete Form within 15 days of receiving such information, failing which the ROC shall treat the MCA Form as invalid in the electronic record, and shall inflict the penalties set forth in this section.
- If the Registrar finds that the Form or document is defective or incomplete in any way after re-submission, he shall give the applicant an additional fifteen days to correct the defects or complete the Form, failing which the Registrar shall treat the Form as invalid in the electronic record and notify the applicant accordingly.
- Any re-submission of an application in Form STK-2 submitted before the start of the Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2022 will not be considered towards the maximum number of re-submissions of such Form."
