Under the Companies Act, 2013, certain top-level executives are designated as Key Managerial Personnel (KMP) and are entrusted with managing the affairs, strategy, compliance, and governance of the organization. Sections 196 to 205 of the Companies Act, 2013, together with Schedule V, lay down detailed provisions governing the appointment, responsibilities, and remuneration of KMPs.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Who_are_Key_Managerial_Personnel_KMP\"><\/span><span style=\"color: #000080;\"><strong>Who are Key Managerial Personnel (KMP)?<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>As per Section 2(51) of the Companies Act, 2013, Key Managerial Personnel are senior executives responsible for the overall management and decision-making functions of a company. They serve as the crucial link between the Board of Directors, regulators, shareholders, and other stakeholders.\u00a0The following individuals are classified as Key Managerial Personnel\u2019s :<\/p>\n<ul>\n<li>Managing Director (MD)<\/li>\n<li>Whole-time Director (WTD)<\/li>\n<li>Chief Executive Officer (CEO)<\/li>\n<li>Company Secretary (CS)<\/li>\n<li>Chief Financial Officer (CFO)<\/li>\n<li>Manager<\/li>\n<\/ul>\n<p>These personnel play a pivotal role in corporate governance, strategic planning, regulatory compliance, and business operations.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Companies_Required_to_Appoint_Key_Managerial_Personnel\"><\/span><span style=\"color: #000080;\"><strong>Companies Required to Appoint Key Managerial Personnel <\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The Companies Act mandates the appointment of whole-time Key Managerial Personnel in:<\/p>\n<ul>\n<li>Every listed company.<\/li>\n<li>For Every public company having a paid-up share capital of \u20b910 crore or more.<\/li>\n<li>Every private company having a paid-up share capital of \u20b910 crore or more is required to appoint a Whole-time Company Secretary.<\/li>\n<\/ul>\n<p>The mandatory Key Managerial Personnel positions include:<\/p>\n<ul>\n<li>Managing Director, CEO, or Manager (or a Whole-time Director in their absence)<\/li>\n<li>Company Secretary<\/li>\n<li>Chief Financial Officer<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"Appointment_and_Tenure_of_KMP\"><\/span><span style=\"color: #000080;\"><strong>Appointment and Tenure of KMP<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Every whole-time Key Managerial Personnel must be appointed through a Board Resolution specifying the terms, conditions, and remuneration. The appointment ensures accountability and transparency in governance.<\/p>\n<p>A whole-time Key Managerial Personnel generally cannot hold office in more than one company simultaneously, except in its subsidiary company. Any vacancy in the office of a KMP must be filled by the Board within six months from the date of vacancy. Failure to comply attracts substantial penalties on both the company and the officers in default.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Managing_Director_Whole-time_Director_and_Manager\"><\/span><span style=\"color: #000080;\"><strong>Managing Director, Whole-time Director and Manager<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Section 196 governs the appointment of Managing Directors, Whole-time Directors, and Managers.
