On Feb 24, 2026, the MCA issued General Circular No. 01\/2026, introducing the <span style=\"color: #000080;\">Companies Compliance Facilitation Scheme, 2026. <\/span>\u00a0The Companies Compliance Facilitation Scheme, 2026, provides\u00a0a time\u2011bound compliance window operative from April 15, 2026, to July 15, 2026, enabling companies to regularise delayed statutory filings under the Companies Act, 2013 and the Companies Act, 1956 at substantially reduced additional fees.<\/p>\n<p>This scheme is aimed at encouraging defaulting companies to complete statutory filings and align with regulatory requirements without the burden of heavy additional fees and legal consequences. Effective Period: 15 April 2026 to 15 July 2026<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Key_Benefits_under_Companies_Compliance_Facilitation_Scheme_2026_CCFS%E2%80%912026\"><\/span><span style=\"color: #000080;\"><strong>Key Benefits under\u00a0<\/strong><\/span><span style=\"color: #000080;\"><strong>Companies Compliance Facilitation Scheme, 2026 (<\/strong><\/span><span style=\"color: #000080;\"><strong>CCFS\u20112026)<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>Overdue ROC Filings at Concessional Cost : File pending annual returns and financial statements by paying only 10% of the applicable additional fees.<\/li>\n<li>Dormant Status at Reduced Fees : Companies not carrying on business may apply for Dormant Status at 50% of the normal filing fees.<\/li>\n<li>Strike\u2011off at Minimal Cost: Inactive companies may opt for strike\u2011off by paying only 25% of the normal filing fees.<\/li>\n<li>Penalty Relief :\u00a0 Relief from penalties and prosecution is available in specified cases, subject to compliance with scheme conditions.<\/li>\n<li>MCA has clarified that the Company Compliance Fresh Start Scheme, 2026 is a one\u2011time, non\u2011recurring compliance window introduced with the objective of providing companies an opportunity to regularise past statutory non\u2011compliances. The scheme is intended to:\n<div>\n<ul>\n<li>Enable companies to regularise historical non\u2011compliances under the Companies Act framework<\/li>\n<li>Facilitate filing of long\u2011pending statutory documents with the RoC<\/li>\n<li>Provide significant relief by way of reduced additional fees and mitigation of penal exposure, subject to the conditions of the Scheme<\/li>\n<\/ul>\n<\/div>\n<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Forms_Covered_under_the_Companies_Compliance_Facilitation_Scheme_2026\"><\/span><span style=\"color: #000080;\"><strong>Forms Covered under the\u00a0<\/strong><\/span><span style=\"color: #000080;\"><strong>Companies Compliance Facilitation Scheme, 2026 <\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>The scheme covers major pending ROC filings, including but not limited to MGT\u20117 \/ MGT\u20117A \u2013 Annual Return, AOC\u20114 (including all variants) \u2013 Financial Statements, ADT\u20111 \u2013 Appointment of Auditor, FC Forms \u2013 Foreign Company Filings and Other relevant statutory forms as notified. Companies Compliance Facilitation Scheme, 2026, serves as a remedial mechanism rather than a continuing compliance relaxation.<\/p>\n<div>\n<h3><span class=\"ez-toc-section\" id=\"Exclusions_%E2%80%93_Who_Cannot_Avail_This_Scheme\"><\/span><span style=\"color: #000080;\"><strong>Exclusions \u2013 Who Cannot Avail This Scheme?<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Lists ineligible entities, including:<\/p>\n<ul>\n<li>Companies against which final notice for strike\u2011off has already been issued<\/li>\n<li>ROC Companies that have already applied for strike\u2011off<\/li>\n<li>Companies that have already applied for dormant status before scheme start<\/li>\n<li>ROC Companies dissolved due to amalgamation<\/li>\n<li>Vanishing companies<\/li>\n<\/ul>\n<\/div>\n<h2><span class=\"ez-toc-section\" id=\"Why_Companies_Should_Act_Immediately\"><\/span><span style=\"color: #000080;\"><strong>Why Companies Should Act Immediately <\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><span style=\"font-size: 16px;\">Avoid <\/span>heavy additional fees and penalties. <span style=\"font-size: 16px;\">Prevent <\/span>disqualification of directors, <span style=\"font-size: 16px;\">Minimize risk of <\/span>regulatory action or prosecution. <span style=\"font-size: 16px;\">Clean up historical non\u2011compliances in a <\/span>cost\u2011effective manner and <span style=\"font-size: 16px;\">Regularize company status for future fundraising, closures, or restructuring<\/span><\/p>\n<p>The scheme is time\u2011bound and will not be extended easily. Early action is strongly recommended.
