and<\/li>\n<li>Seek a vote of the members who did not vote at the meeting on the matters listed for voting, by electronic voting system in accordance with regulation 26 where the voting shall be kept open for at least twenty-four hours from the circulation of the minutes.<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"Authorised_Representative_AR_of_Financial_Creditors_under_IBC_Regulation_%E2%80%93_Sec_25A\"><\/span><span style=\"color: #000080;\"><strong>Authorised Representative (AR) of Financial Creditors <\/strong><strong>under IBC Regulation <\/strong><strong>&#8211; Sec 25A<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<ul>\n<li>AR to attend and vote on behalf of financial creditors with prior voting instruction of the creditors.<\/li>\n<li><span style=\"color: #000080;\">Authorised Representative<\/span>\u00a0to circulate the agenda and minutes of the meeting of CoC to the creditors he represents.<\/li>\n<li>AR shall cast his vote on behalf of the financial creditor he represents as per their instruction.<\/li>\n<li>if the AR represents several financial creditors, then he shall cast his vote in respect of each financial creditor in accordance with instructions received from each financial creditor, to the extent of its voting share.<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"Voting_for_Creditors_in_a_Class_under_IBC_Regulation_Reg_25_6\"><\/span><span style=\"color: #000080;\"><strong>Voting for Creditors in a Class under IBC Regulation\u00a0 Reg 25 (6)<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><img loading=\"lazy\" decoding=\"async\" class=\"alignnone size-full wp-image-22653\" src=\"https:\/\/carajput.com\/blog\/wp-content\/uploads\/2022\/07\/Voting-for-Creditors-in-a-Class-under-IBC-Regulation.jpg\" alt=\"Voting for Creditors in a Class under IBC Regulation\" width=\"1200\" height=\"900\" srcset=\"https:\/\/carajput.com\/blog\/wp-content\/uploads\/2022\/07\/Voting-for-Creditors-in-a-Class-under-IBC-Regulation.jpg 1200w, https:\/\/carajput.com\/blog\/wp-content\/uploads\/2022\/07\/Voting-for-Creditors-in-a-Class-under-IBC-Regulation-300x225.jpg 300w, https:\/\/carajput.com\/blog\/wp-content\/uploads\/2022\/07\/Voting-for-Creditors-in-a-Class-under-IBC-Regulation-1024x768.jpg 1024w, https:\/\/carajput.com\/blog\/wp-content\/uploads\/2022\/07\/Voting-for-Creditors-in-a-Class-under-IBC-Regulation-768x576.jpg 768w, https:\/\/carajput.com\/blog\/wp-content\/uploads\/2022\/07\/Voting-for-Creditors-in-a-Class-under-IBC-Regulation-800x600.jpg 800w\" sizes=\"(max-width: 1200px) 100vw, 1200px\" \/><\/p>\n<ul>\n<li>Authorised Representative shall circulate minutes of the meeting received from RP amongst the creditors in a class<\/li>\n<li>Voting window to be announced at least 24 hours before voting window opens<\/li>\n<li>Keep the voting window open for at least 12 hours.<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"Voting_through_electronic_means_under_IBC_Regulation_Reg_26\"><\/span><span style=\"color: #000080;\"><strong>Voting through electronic means <\/strong><\/span><span style=\"color: #000080;\"><strong>under IBC Regulation <\/strong><\/span><span style=\"color: #000080;\"><strong>Reg 26<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Resolution Professional shall:<\/p>\n<ul>\n<li>provide each member of the committee the means to exercise its vote by either electronic means or through electronic voting system;<\/li>\n<li>At the conclusion of a vote, announce and make a written record of the summary of the decision taken on a relevant agenda item along with the names of the members of the committee who voted for or against the decision, or abstained from voting;<\/li>\n<li>circulate a copy of the record to all participants by electronic means within twenty four hours of the conclusion of the voting<\/li>\n<li>At the end of the voting period, the voting portal shall be blocked.<\/li>\n<li>Resolution Professional to prepare summary of the decision taken on relevant agenda item along with names of the Committee members who voted for or against the matter or abstained from voting.<\/li>\n<li>The summary shall be circulated to all the participants within 24 hours of the conclusion of the voting.<strong>\u00a0<\/strong><\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"Provisions_relating_to_minutes_of_the_meeting_under_IBC_Regulation\"><\/span><span style=\"color: #000080;\"><strong>Provisions relating to minutes of the meeting <\/strong><\/span><span style=\"color: #000080;\"><strong>under IBC Regulation<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<ul>\n<li>IRP\/Resolution Professional to record the proceeding and prepare the minutes of the meeting [Reg.23(3)(c)<\/li>\n<li>Resolution Professional to ensure minutes are prepared for each meeting. Minutes shall disclose the particulars of participants who attended in person and those who attended through video conferencing. [Reg. 24 (6)]<\/li>\n<li>RP to circulate minutes of the meeting to all participants by electronic means within forty eight hours of the said meeting [Reg. 24 (7)]<\/li>\n<li>Authorised Representative shall circulate minutes of the meeting to creditors in a class and announce voting window at least 24 hours before it opens [Reg 26 (6)].<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\"
