transfer for which the brief of documents required is provided in the trailing mail.<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>Buyer &amp; Seller Consent Letter: we required a Consent letter for receipt\/ transfer of consideration duly signed by the buyer &amp; seller.<\/li>\n<li>Shareholding Pattern: shareholding pattern of investee <a href=\"https:\/\/www.caindelhiindia.com\/blog\/why-needed-to-register-a-private-limited-company\/\">company <\/a>before &amp; after the acquisition of securities by a person resident outside India.<\/li>\n<li>Needed the Transfer agreement: Relevant extracts of the transfer agreement along with the consent letter between buyer and seller. For sale\/ purchase on a stock exchange, the contract note may be attached, at \u201cValuation certificate\/ Transfer agreement\u201d<\/li>\n<li>Transfer agreement\/ Valuation certificate: valuation certificate as per FEMA 20 (R) to be attached at \u201cTransfer agreement\/ Valuation certificate\u201d.<\/li>\n<li>Declaration from Buyer of Securities:\u00a0Declaration from the buyer to the effect that he is eligible to acquire shares\/compulsorily and mandatorily convertible preference shares\/debentures under FDI policy.<\/li>\n<li>Declaration by the Non-resident:\u00a0required the declaration from the non-resident transferee as per the format provided by the RBI in their SMF- user manual.<\/li>\n<li>Required company Board Resolution:\u00a0Needed the Board Resolution of Investee Company to approve &amp; ack the securities transfer.<\/li>\n<li>Needed Transfer Deed:\u00a0we required (form SH 4) Securities Transfer Deed.<\/li>\n<li>Outward Remittance copy\/FIRC:\u00a0 Outward remittance certificate FIRC &amp; KYC to be attached at the specified attachment.<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Transfer_of_shares_without_consideration\"><\/span><span style=\"color: #000080;\"><strong>Transfer of shares without consideration: <\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>In this case, the approval of <a href=\"https:\/\/carajput.com\/blog\/rbi-allowed-offline-small-digital-payments-mode-upto-rs-2k\/\">RBI<\/a> is required, and it will take 1.5 months to 2 months time depending upon the AD Bank.<\/li>\n<li>After getting the RBI approval we need to file Form FCTRS with RBI for reporting the transfer of shares.<\/li>\n<li>In case you are transferring the shares without consideration then you need to comply with tax provisions as well which we can discuss later.<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Transfer_by_way_of_gift_by_Resident_to_Non-Resident\"><\/span><span style=\"color: #000080;\"><strong>Transfer by way of gift by Resident to Non-Resident:<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>This requires prior approval of the Reserve Bank of India and such approval is subject to the following conditions:<\/p>\n<ul>\n<li>The applicable sectoral cap in the Indian company is not breached.<\/li>\n<li>The Donor &amp; Donee shall be \u201crelatives\u201d within the meaning section 2(77) of the Companies Act, 2013;<\/li>\n<li>The Donee is eligible to hold such a security under foreign direct investment Rules as amended from time to time;<\/li>\n<li>The gift does not exceed five percent of the paid-up capital of the Indian company or each series of debentures.<\/li>\n<li>The value of security to be transferred by the transferor together with any security transferred to any<a href=\"https:\/\/carajput.com\/blog\/category\/nri\/\"> Non-Resident<\/a> as a gift during the financial year does not exceed the rupee equivalent of USD 50,000;<\/li>\n<li>Such other conditions as considered necessary in the public interest by the Central Government.<\/li>\n<\/ul>\n<p>Please confirm your AD Bank also in the upcoming email.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"List_of_Documents_required_to_file_form_FCTRS_with_RBI\"><\/span><strong><span style=\"color: #000080;\">List of Documents required to file form FCTRS with RBI:<\/span> \u00a0<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>The person can transfer the shares by way of a gift to his daughter.
