MCA Launches CPC Centre in Manesar for e-forms processing

MCA via Notification operationalises of CPC Centre in Manesar for processing of ROC e-forms

The Ministry of Corporate Affairs through Notification has announced the establishment  of a CPC at IICA, Plot No. 6,7,8, Sector 5, IMT Manesar, District Gurgaon (Haryana), Pin Code: 122050, has been notified by the MCA Notification. The jurisdictional State Registrars have been replaced by the Central Processing Centre in handling the processing & disposal of ROC online e-forms. On the other hand, with the exception of e-forms, the jurisdiction of ROC will continue to have authority over corporations with respect to all other sections of the corporations Act, 2013, and its rules.

This is objective at more space to handle enforcement-related tasks capacity at the Registrar of Companies’ and Regional Directors’ offices to deal with enforcement matters.

CPC Time-bound Processing of Corporate Filings Starting from February 6th, 2024

Furthermore, it has been made clear that, with regard to the other aspects of the company Act of 2013, the jurisdictional Registrars would still have jurisdiction over the companies whose e-forms are processed by the Central Processing Centre.

  • MSC- 4  Application for seeking status of Active Company
  • SH-11  Return in respect of buy-back of securities

It is anticipated that the CPC will process about 2.50 lakh forms a year once it is fully functioning. 4,910 Online e-forms have been received by the CPC, which is dedicated to processing them quickly and anonymously. This strategy is similar to the streamlined procedures already in place at the  Centralised Processing for Accelerated Corporate Exit ( C-PACE ) & Central Registration Centre ( CRC ), both of which do not necessitate face-to-face interactions with stakeholders.

Ministry of Corporate Affairs regarding the discontinuation of the MCA V2 Portal.

  • MCA V2 Portal to Be Disabled After 18 June 2025 : Ministry of Corporate Affairs V2 Portal will be disabled after 18 June 2025. Annual filing forms will be shifted to the new V3 portal.  Early filing is strongly advised to avoid any technical disruptions.

  • This is a transition advisory, urging stakeholders to complete filings on the current system before the cutoff date, or prepare for the shift to MCA V3 Portal. It’s especially crucial for companies to prepare financials (like the balance sheet) promptly to avoid last-minute delays.

MCA Notifies New Disclosure Requirements: Ministry of Corporate Affairs (MCA) focus areas like maternity benefit compliance and POSH (Prevention of Sexual Harassment) compliance. Key Changes Required in the Board’s Report:

  • POSH Compliance: Companies must now go beyond merely forming an Internal Complaints Committee (ICC). They must mandatorily disclose it in the board’s report. Total number of sexual harassment complaints received, Number of cases pending for more than 90 days
  • Maternity Benefit Compliance: Companies are required to include an affirmative declaration in the Board’s Report confirming adherence to the Maternity Benefit Act, 1961, covering maternity leave provisions, salary and other benefits, and Related employee entitlements.

These changes reinforce MCA’s emphasis on workplace safety, transparency, and employee welfare and must be duly incorporated in annual reports for all applicable financial years starting post-July 14, 2025.
